These Terms of Service ("Terms") govern your use of the Tumr platform—the website, Tumr Account, Tumr Sell, Tumr Send, Tumr Go, Tumr Stores, Tumr Maps, the rider and agent mobile apps, and the Tumr APIs (together, the "Services"). By creating an account or using the Services you agree to these Terms. Product-specific terms (for example Seller Terms or Carrier Terms) apply in addition to these Terms when you use those products.
1. Eligibility and accounts
- You must be able to form a legally binding contract to use the Services. Business features (selling, dispatch, fleet) are intended for adults operating a business.
- One Tumr Account signs you in across all Tumr products.
- You must provide accurate registration information and keep it current.
- You are responsible for activity under your account and API keys. Keep credentials secret and tell us immediately about unauthorized use.
2. What Tumr is
Tumr provides software that helps merchants sell online, request and manage deliveries, and helps carriers and riders fulfill them. For marketplace orders, Tumr provides ordering, dispatch coordination, escrowed payment handling, and tracking. Independent merchants sell the products; independent carriers and riders perform deliveries. Tumr is not the seller of merchant products and is not a common carrier.
3. Acceptable use
You agree not to misuse the Services. The Acceptable Use Policy describes prohibited conduct—including fraud, illegal goods, abuse of the API, and interference with the platform—and is incorporated into these Terms.
4. Payments, wallets, and escrow
- Payments are processed by Flutterwave. By paying or receiving payouts you also agree to the processor's applicable terms.
- Wallet balances are ledgered; top-ups are credited after processor verification.
- For delivery-backed orders, funds may be held in escrow and released when delivery is confirmed (for example by recipient OTP/QR) or resolved through our dispute process.
- Payouts go to your verified bank account and may be subject to verification, velocity limits, and holds required for fraud prevention or legal compliance.
- Fees that apply to a transaction are shown or described before you confirm it. Transaction-fee structures for merchants are described in the Seller Terms and in-product pricing.
5. Subscriptions and credits
Paid plans and AI credit packs are billed in advance through the payment method you provide. Subscriptions renew until cancelled; you can cancel at any time and keep access until the end of the paid period. Quotas and included allowances are described on the pricing pages and in the Seller Terms.
6. Your content
You retain ownership of content you submit (product listings, images, store descriptions, messages). You grant us a non-exclusive license to host, display, and transmit that content as needed to operate the Services—for example to show your storefront to buyers. You are responsible for having the rights to the content you upload.
7. Third-party services
The Services interoperate with third parties (payments, maps/geocoding, routing, WhatsApp, push delivery, AI providers). Your use of those features may be subject to the third party's terms, and we are not responsible for third-party services outside our reasonable control.
8. Service availability
We work to keep the Services reliable but do not promise uninterrupted availability. Features may change over time; we will not remove materially paid-for functionality mid-period without an appropriate remedy.
9. Suspension and termination
- You may stop using the Services or delete your account at any time.
- We may suspend or terminate access for fraud, illegal activity, material breach of these Terms, or risk to other users, with notice where reasonably possible.
- On termination, outstanding escrow and wallet balances are settled through the standard payout/dispute process.
10. Disclaimers
The Services are provided "as is" and "as available." To the extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the conduct of independent merchants, carriers, or riders.
11. Limitation of liability
To the extent permitted by law, Tumr is not liable for indirect, incidental, or consequential damages, lost profits, or loss of data. Our aggregate liability arising out of a transaction is limited to the fees we actually received for that transaction, or—where no fee was charged—the amount required by applicable law.
12. Disputes and governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, and disputes will be resolved in the courts or arbitration forums of Nigeria, unless mandatory law in your location provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. We keep prior versions in the document archive, and for material changes we will notify you in-app or by email and may ask you to accept the new version before continuing to use affected features.
